New Delhi, India – Russian oil giant Rosneft is reportedly in preliminary discussions with Reliance Industries Limited (RIL) to sell its stake in Nayara Energy. Should the talks materialize, the acquisition would position Reliance as India’s largest oil refining company, surpassing current leader Indian Oil Corporation (IOC).
Rosneft currently holds a significant 49.13% stake in Nayara Energy (formerly Essar Oil). The potential sale is part of a broader move by Russian entities to divest their investments in the Indian energy firm.
In addition to Rosneft, UCP Investment Group, a major Russian financial institution, is also looking to withdraw its investment from Nayara. UCP holds a 24.5% stake in the company. Trafigura, another entity, also holds 24.5% of Nayara’s shares. Furthermore, several retail investors have also invested in Nayara Energy.
If Reliance successfully acquires Rosneft’s stake, along with the shares held by UCP and potentially others, it would significantly consolidate its position in the Indian refining sector. Reliance currently operates the world’s largest refinery complex at Jamnagar, Gujarat. The acquisition of Nayara Energy’s Vadinar refinery would further expand its refining capacity and market share in India.
Nayara Energy operates a 20 million metric tonnes per annum (MMTPA) refinery in Vadinar, Gujarat, and also has a network of over 6,000 retail fuel outlets across India.
The reasons behind Rosneft and UCP’s decision to exit Nayara Energy have not been explicitly stated in the preliminary reports. However, market observers suggest it could be part of strategic portfolio adjustments or a response to the evolving global energy landscape.
The discussions are still in their early stages, and there is no guarantee that a deal will be reached. Any potential acquisition would be subject to regulatory approvals.
This development underscores the dynamic shifts in the global energy market and the strategic moves by major players to strengthen their positions in key regions like India, which is a rapidly growing energy consumer.
